1. Purpose & Philosophy
CEPL is committed to conducting business in an ethical, socially responsible, and environmentally sustainable manner. The company aims to contribute to the overall development of society, with special focus on underprivileged and weaker sections.
2. Objectives

Support socially and economically disadvantaged communities.

Conduct CSR activities responsibly across social, environmental, and economic dimensions.

Undertake CSR projects as per the Companies Act, 2013 and CSR Rules, 2014.

Decide execution methods and ensure effective monitoring of CSR programs.
3. Legal Framework & Scope

The policy follows Section 135 of the Companies Act, 2013, CSR Rules, 2014, and related government guidelines.

CSR activities must fall under Schedule VII of the Companies Act.
-
Activities benefitting only employees and their families are not treated as CSR.
4. Key CSR Focus Areas (Schedule VII)

5. CSR Budget & Funding

CEPL will spend at least 2% of the average net profits of the last three years on CSR.

Annual CSR budget must be approved by the Board.

Any unspent amount must be explained in the Board’s Report.

Excess CSR spending can be set off in future years.

Surplus from CSR activities will not be treated as business profit.
6. Implementation Mechanism
CSR activities may be carried out:

Directly by CEPL, or
-
Through registered trusts, societies, Section 8 companies, or government agencies with valid track records.
Priority is given to proposals from government agencies and CPSEs.
7. Monitoring & Reporting

CSR projects are monitored concurrently with implementation.

Progress is reviewed based on timelines, expenditure, and outcomes.

8. Governance & Role of the Board
The Board of Directors (BOD) is responsible for:

Formulating and approving the CSR Policy and annual action plan

Approving CSR budget and expenditure

Monitoring and supervising implementation

Reviewing CSR performance periodically
-
Ensuring compliance with statutory requirements
9. Policy Review
The CSR Policy is reviewed periodically to ensure it remains relevant, effective, and compliant with law.
